These Terms of Use ("Terms") are a binding agreement governing the Cupid website and CPD management platform. The Service is supplied by Bezeled Pty Ltd (ACN 691 164 315, ABN 12 691 164 315), trading as Cupid ("Cupid", "we", "us" or "our").
Please read these Terms before creating an account, creating or joining an organisation workspace, buying a subscription, registering for a session, or otherwise using the Service. By doing any of those things, you agree to the parts of these Terms that apply to you. If you accept these Terms for a firm, chambers, in-house team or other organisation, you warrant that you have authority to bind it.
Important: Cupid helps Australian legal practitioners and organisations track, manage and prepare CPD records. It does not certify compliance, provide legal advice, or replace a regulator's rules or decision. You remain responsible for verifying and meeting your professional obligations.
1.Definitions and interpretation
1.1In these Terms:
(a)ACL means the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth).
(b)Account means an account used to access the Service.
(c)Authorised User means a person whom a Customer authorises to access its Workspace and for whom the applicable access or seat has been obtained.
(d)Business Day means a day other than a Saturday, Sunday or public holiday in New South Wales.
(e)Confidential Information means information disclosed by or on behalf of a party that is confidential by nature, designated as confidential, or which a reasonable person would understand to be confidential. It includes Customer Data, security information, non-public product information, pricing in a negotiated Order, business plans and trade secrets.
(f)Customer means the person or organisation that creates, owns or pays for a Workspace or subscription. If an individual subscribes for their own practice, that individual is the Customer.
(g)Customer Data means information, records, files and other content submitted to, generated through, or stored in the Service by or for a Customer or its Authorised Users. It does not include the Service, Documentation, Usage Data or material owned by a third party.
(h)Documentation means the user guidance and technical or product information about the Service that we make available from time to time.
(i)Fees means the fees shown at checkout, in the applicable plan description or in an Order, together with any applicable taxes.
(j)Intellectual Property Rights means all present and future rights conferred by statute, common law or equity in or in relation to copyright, trade marks, designs, patents, circuit layouts, domain names, confidential information, know-how, inventions and other intellectual or industrial property rights, whether registered or unregistered.
(k)Order means an order form, enterprise proposal or other written commercial agreement for the Service that we accept.
(l)Privacy Policy means our Privacy Policy, as updated in accordance with its terms.
(m)Service means the Cupid website, applications, hosted software, APIs, Documentation and related services that we make available, including the features included in the Customer's plan or Order.
(n)Subscription Term means the monthly, annual or other subscription period selected at checkout or stated in an Order, including each renewal period.
(o)Third-Party Service means a product, service, website, platform, system or content supplied by a person other than Cupid.
(p)Usage Data means technical, diagnostic, security and usage information about operation and use of the Service that does not identify a Customer, an Authorised User or any other individual.
(q)Workspace means the logically separated area of the Service created for a Customer and its Authorised Users.
1.2A reference to "including" or similar words is not limiting. The singular includes the plural and vice versa. A reference to a law includes subordinate legislation and amendments or replacements of it. Headings are for convenience only. If an obligation is due on a day that is not a Business Day, it is due on the next Business Day.
1.3A reference to "you" means the person using the Service and, where that person acts for a Customer, also means the Customer. Obligations that can only be performed by a Customer apply to the Customer; obligations concerning an individual's conduct apply to that individual.
2.Agreement, authority and priority
2.1These Terms apply when you create an Account, accept an invitation, create or join a Workspace, purchase or renew a subscription, access or use the Service, or register for a public session through Cupid.
2.2If you accept these Terms for an organisation, you warrant that you have full authority to do so. If you do not have that authority, you must not create a Workspace, purchase a subscription or represent that the organisation has agreed to these Terms.
2.3You must be at least 18 years old and legally capable of entering into this agreement. The Service is intended for legal practitioners and adults working with them, not children.
2.4The agreement between Cupid and a Customer consists of:
(a)any Order accepted by Cupid;
(b)these Terms;
(c)the plan and pricing information presented when the subscription is purchased; and
(d)the policies expressly incorporated into these Terms, including the Privacy Policy.
2.5If those documents conflict, an Order prevails to the extent it expressly states that it overrides these Terms, then these Terms prevail over general plan or website material. The Privacy Policy governs to the extent of a conflict about how we handle personal information. An organiser's displayed refund terms govern a Session Ticket subject to Part B and any rights that cannot be excluded by law.
2.6Our acceptance record, subscription record and transaction record may be used as evidence of the version accepted, the person who accepted it, the time of acceptance and the relevant Customer, Workspace or Session Ticket.
3.Access to the Service
3.1Subject to payment of the Fees and compliance with this agreement, we grant the Customer a limited, non-exclusive, non-transferable and non-sublicensable right during the Subscription Term to permit its Authorised Users to access and use the Service for the Customer's internal professional and business purposes.
3.2We grant each Authorised User a limited, non-exclusive and revocable right to use the Documentation only in connection with their permitted use of the Service.
3.3The Customer must keep the number and type of users, practitioners, storage and other usage within the limits of its plan or Order. Every Workspace member counts toward a member limit unless the plan expressly says otherwise. Practitioner-based limits and charges apply according to the plan description shown at purchase.
3.4If the Customer exceeds a plan limit, we may ask it to remove or reduce the excess use, purchase additional capacity or move to an appropriate plan. We will not impose a new charge for excess use without first disclosing the charge and obtaining agreement where required by law.
3.5Rights not expressly granted are reserved by Cupid and its licensors. No right arises by implication, waiver or estoppel.
4.Accounts and access security
4.1You must provide complete and accurate Account and practising information and keep it current. In particular, profession, jurisdiction, practising dates and certificate type affect the way the Service presents a CPD position.
4.2Each Account is personal to the named user. You must not share credentials, allow another person to impersonate you, or use another person's Account. A firm may arrange authorised record access through the permissions and delegation features provided by the Service.
4.3You must:
(a)keep passwords, authentication devices, recovery codes and access links confidential and secure;
(b)use reasonable security practices and enable two-factor authentication where the Customer requires it or the circumstances warrant it;
(c)promptly revoke access for a person who is no longer authorised;
(d)promptly notify us at hello@cupid.legal of suspected unauthorised access, credential compromise or misuse; and
(e)take reasonable steps we request to contain or remedy a security issue connected with your Account or systems.
4.4You are responsible for activity performed through your Account except to the extent it results from our breach of this agreement, negligence, fraud or wilful misconduct. Notification under clause 4.3(d) does not make you responsible for activity occurring after we have had a reasonable opportunity to secure the Account.
4.5You may use an available third-party identity provider to sign in. That provider's service and terms are separate from ours. We are not responsible for its acts, omissions or availability, but this does not limit our responsibility for the parts of authentication that we control.
5.Workspaces, roles and delegated access
5.1The Customer controls its Workspace, subject to this agreement. It appoints owners and administrators, invites and removes members, assigns Workspace roles and capabilities, manages its subscription and determines how its personnel use the Service.
5.2A Workspace owner or administrator can manage the Workspace but does not, merely because of that role, receive access to another practitioner's CPD record. Access to another record requires the relevant capability granted by the Customer or a standing delegation granted by the practitioner.
5.3Where a person records an activity on behalf of another practitioner:
(a)the Service records who entered it;
(b)an entry made under a firm-granted capability may require the practitioner to approve it before it counts; and
(c)an entry made under the practitioner's standing delegation may count without per-entry approval, because that delegation is the practitioner's prior consent.
The practitioner remains responsible for the accuracy of their record and may withdraw a standing delegation through the Service.
5.4The Customer is responsible for:
(a)determining who should be an Authorised User and what role, capability or delegation is appropriate;
(b)ensuring its instructions and grants comply with law, professional duties and its internal policies;
(c)the acts and omissions of its Authorised Users within the scope of access it gives them; and
(d)ensuring Authorised Users are made aware of the provisions of this agreement that apply to them.
5.5A Workspace and its records are controlled by the Customer. If an Authorised User leaves the Customer, the Customer may retain records created in the Workspace, including records concerning that person, subject to privacy law, employment obligations and other applicable law. A practitioner should export any record they need before leaving.
5.6A Customer must not use Workspace control, permissions or exports to access, alter, disclose or retain personal information unlawfully or in breach of a practitioner's professional rights.
6.What Cupid does and does not do
6.1Cupid provides tools to track and manage CPD activities, points, mandatory fields or competency areas, evidence, credentials, exemptions or adjustments, internal sessions, attendance, certificates, reminders, exports, audit packs and related records. Available features depend on the applicable plan and may change under clause 12.
6.2Cupid does not certify compliance. A total, progress indicator, warning, status, certificate, report, audit pack, upload file or other output is a record-management aid only. It is not a determination, approval or assurance by a court, regulator, professional body or Cupid that a practitioner or provider has complied with a legal or professional obligation.
6.3CPD schemes differ by profession and jurisdiction and may change, operate retrospectively, involve regulator discretion or depend on facts the Service does not know. We maintain requirement information in good faith, but we do not warrant that it is complete, current or applicable to a person's particular circumstances.
6.4Each practitioner and Customer is responsible for:
(a)checking the rules and guidance published by the relevant regulator;
(b)determining which activities may be claimed, the correct value and category, whether a cap or minimum applies, and whether evidence is sufficient;
(c)obtaining any exemption, adjustment, accreditation, provider approval or regulator decision that is required;
(d)reviewing records and outputs before relying on, filing, lodging or providing them; and
(e)meeting all deadlines and retaining any original records required by law or a regulator.
6.5Cupid does not provide legal, regulatory, accounting, tax or professional advice. Nothing in the Service creates a solicitor-client, fiduciary, adviser, regulator, certifier, employment or agency relationship between Cupid and a Customer, practitioner, attendee or organiser.
6.6Where the Service prepares a file or workflow for a regulator system, including a Western Australian CPDMS upload, the Customer is responsible for checking it, submitting it through the regulator's system, resolving validation errors and confirming acceptance. We do not control the regulator's system or its decision.
7.Customer Data and records
7.1As between Cupid and the Customer, the Customer retains all right, title and interest in Customer Data. This clause does not determine ownership or privacy rights as between a Customer and an individual to whom the data relates.
7.2The Customer grants us a non-exclusive, worldwide, royalty-free licence during the period we hold Customer Data to host, copy, store, transmit, display, transform, back up and otherwise process it only as reasonably necessary to:
(a)provide, maintain, secure and support the Service;
(b)follow the Customer's lawful instructions;
(c)prevent or investigate fraud, abuse or security incidents;
(d)comply with law or legal process; and
(e)exercise our rights and perform our obligations under this agreement and the Privacy Policy.
7.3The Customer warrants that it and its Authorised Users have all rights, permissions, notices, consents and lawful bases required for us to handle Customer Data as contemplated by this agreement. This includes information entered about employees, contractors, practitioners, presenters, attendees and prospective session attendees.
7.4The Customer is responsible for the legality, integrity, quality and accuracy of Customer Data and for correcting errors. You must not create false or misleading CPD records, fabricate evidence, falsely record attendance, or misrepresent a Service output as a regulator's determination.
7.5Some free-text fields and uploads can contain health information or other sensitive information. Do not upload more information than the record reasonably requires. Where the Customer or an Authorised User enters sensitive information about another person, the Customer is responsible for ensuring that collection and disclosure are lawful and that any required consent has been obtained.
7.6The Service includes export and download functions. The Customer must maintain independent copies of records and files that are critical to professional, legal, regulatory, tax or business obligations. Backups used to operate and restore the Service are not a substitute for the Customer's own records.
7.7We may generate and use Usage Data to operate, secure, analyse and improve the Service. We will not use Usage Data to identify a Customer or individual, reconstruct Customer Data, advertise to users, or train an artificial intelligence or machine-learning model on Customer Data.
8.Acceptable use
8.1You must not, and must not attempt to or permit another person to:
(a)use the Service unlawfully, fraudulently or in breach of a professional conduct rule, court order, regulator requirement or another person's rights;
(b)access any Account, Workspace, record, file, system or data without authorisation;
(c)defeat, bypass or interfere with authentication, permissions, rate limits, security, monitoring, technical restrictions or plan limits;
(d)probe, scan or test a vulnerability without our prior written consent, except for good-faith security research conducted within the conditions published on our Security and data handling page;
(e)introduce malware, malicious code or harmful material, or use the Service to transmit spam, phishing or deceptive communications;
(f)copy, modify, translate, adapt, create derivative works from, reverse engineer, decompile, disassemble or otherwise attempt to discover source code, algorithms or non-public components of the Service, except to the limited extent that law prohibits this restriction;
(g)scrape, harvest or bulk-extract information except through an export or interface we provide for that purpose;
(h)benchmark or test the Service for publication, develop a competing product from non-public aspects of it, or use the Service or its output to train a model, without our written consent;
(i)rent, lease, sell, sublicense, distribute, publish, transfer, time-share or provide the Service as a bureau or managed service to a third party, unless an Order expressly permits it;
(j)remove or alter a proprietary, trade mark, copyright or attribution notice;
(k)upload material that is unlawful, defamatory, harassing, deceptive, infringing, malicious or reasonably likely to damage a person or system; or
(l)interfere with the integrity, security, availability or performance of the Service or a Third-Party Service.
8.2Ordinary authorised use of exports, audit packs, certificates and regulator-ready files for the Customer's professional and business purposes does not breach clause 8.1.
8.3If you become aware of prohibited use, you must promptly stop it where within your control and notify us. We may preserve relevant records and cooperate with lawful investigations.
9.Privacy and data protection
9.1Our handling of personal information is governed by the Privacy Policy, which forms part of this agreement. The Security and data handling page describes current operational controls and express limitations, including the absence of a data-residency commitment or external certification unless an Order states otherwise.
9.2For Account, billing, support, website, security and operational information for which we determine the purpose of handling, we are responsible for complying with our Privacy Policy and applicable privacy law.
9.3For personal information in a Customer's Workspace that we handle to provide the Service on the Customer's instructions:
(a)the Customer determines why the information is collected and used;
(b)we will handle it only to provide and secure the Service, follow lawful documented instructions, comply with law and perform this agreement;
(c)the Customer is responsible for its collection notices, consents, access decisions, retention decisions and responses to individuals, except to the extent those matters are allocated to us by law or the Privacy Policy; and
(d)we will reasonably assist the Customer with access, correction, deletion and data-incident requests relating to the Workspace.
9.4Each party must comply with the privacy and data-protection laws that apply to its own conduct. A Customer must not instruct us to process personal information unlawfully.
9.5We may use contractors and service providers to operate the Service and may permit them to handle Customer Data only for that purpose and subject to appropriate confidentiality and security obligations. Providers and overseas handling are described in the Privacy Policy. We do not promise Australian-only data residency unless an Order expressly says so.
9.6We will maintain reasonable technical and organisational measures designed to protect Customer Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access. No online service is completely secure, and this clause is not a guarantee that an incident cannot occur.
9.7If we become aware of unauthorised access to, disclosure of or loss of personal information in Customer Data, we will:
(a)take reasonable steps to contain, investigate and remediate the incident;
(b)notify the affected Customer promptly where the incident is likely to require action by the Customer or notification under applicable law;
(c)provide information reasonably available to us that the Customer needs to meet its legal obligations; and
(d)make notifications for which we are responsible under the Notifiable Data Breaches scheme or other applicable law.
9.8The Customer must promptly notify us of a suspected incident arising from its Account, users, systems or instructions and reasonably cooperate with containment and investigation.
10.Confidentiality
10.1Each party receiving Confidential Information (Recipient) must:
(a)keep it confidential and protect it using at least reasonable care;
(b)use it only to exercise rights or perform obligations under this agreement; and
(c)disclose it only as permitted by this clause.
10.2Clause 10.1 does not apply to information the Recipient can show:
(a)is or becomes public other than through breach of an obligation of confidence;
(b)was lawfully known to the Recipient without restriction before disclosure;
(c)is received lawfully from a third party without a duty of confidence; or
(d)was independently developed without use of the other party's Confidential Information.
10.3A Recipient may disclose Confidential Information:
(a)to its personnel, related bodies corporate, contractors, insurers, auditors and professional advisers who need it for the purposes of this agreement and are bound by confidentiality obligations;
(b)with the disclosing party's prior written consent; or
(c)to the extent required by law, a court, a regulator or a stock exchange, provided the Recipient gives advance notice where lawful and reasonably practicable and limits the disclosure to what is required.
10.4Each party is responsible for a breach of this clause by a person to whom it discloses Confidential Information under clause 10.3(a).
10.5Nothing in this clause prevents us from using Usage Data in accordance with clause 7.7 or reporting a suspected offence, professional misconduct, threat to safety or security incident where permitted or required by law.
11.Intellectual property
11.1Cupid and its licensors own all right, title and interest, including Intellectual Property Rights, in the Service, Documentation, Usage Data, branding, templates, designs, software, content and improvements, excluding Customer Data and material expressly identified as third-party material.
11.2No Customer or Authorised User acquires ownership of the Service or any underlying software. Rights are limited to those expressly granted in clause 3.
11.3If you provide feedback, ideas or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free and transferable right to use and exploit them without restriction or payment. This does not give us a right to identify you publicly or disclose Customer Data.
11.4We may refer to a Customer as a customer or use its name or logo only with its prior consent. General use of the Service does not grant us a publicity right.
11.5If a third party claims that the Customer's authorised use of the Service infringes its Australian Intellectual Property Rights, the Customer must promptly notify us and allow us to control the defence and settlement. We may, at our cost and option:
(a)obtain the right for the Customer to continue using the affected part;
(b)modify or replace it so it is no longer alleged to infringe without materially reducing its core function; or
(c)if neither option is reasonably available, terminate the affected Service and refund prepaid Fees for the unused portion of the affected Subscription Term.
11.6Clause 11.5 does not apply to a claim caused by Customer Data, use contrary to this agreement or Documentation, modification not made by us, combination with something not supplied or approved by us, or continued use after we provide a non-infringing replacement and reasonable instructions to stop.
11.7To the extent permitted by law, clause 11.5 states the Customer's exclusive contractual remedy for a third-party Intellectual Property Rights claim concerning the Service.
12.Availability, support and changes
12.1We will use reasonable endeavours to make the Service available and to provide it with due care and skill. Unless an Order states a service level, we do not guarantee uninterrupted, error-free or continuously available operation or any particular response or restoration time.
12.2The Service may be unavailable because of maintenance, upgrades, emergency work, internet or utility failure, a Third-Party Service, a security event, a Force Majeure Event or another cause beyond our reasonable control. Where reasonably practicable, we will give advance notice of planned maintenance likely to cause material disruption.
12.3Standard support is provided through the support channels we make available. We may prioritise requests by severity, security impact, plan and business impact. An Order may specify additional support.
12.4We may improve, modify, replace or discontinue features to maintain security, comply with law, respond to regulator or third-party changes, improve performance or develop the Service. During a prepaid Subscription Term, we will not materially reduce the core paid functionality of the Customer's plan without reasonable notice.
12.5If a change under clause 12.4 materially reduces core paid functionality and is not required by law, security or a Third-Party Service outside our reasonable control, the Customer may notify us within 30 days of the change and terminate the affected subscription. We will refund prepaid Fees for the unused portion after termination. This is the Customer's contractual remedy for that reduction, subject to rights that cannot be excluded by law.
12.6We may release preview, beta or early-access features. We will identify them where reasonably practicable. They may be changed or withdrawn at any time, are provided for evaluation, and should not be relied on for production or regulatory obligations unless we expressly agree otherwise.
13.Third-Party Services and content
13.1The Service may interoperate with or link to Third-Party Services, including Stripe, identity providers, calendar and email providers, hosting and storage providers, regulator websites and session providers.
13.2A Third-Party Service is governed by its own terms and privacy practices. You authorise us to exchange the information reasonably required to provide an integration you enable or a transaction you request.
13.3We do not control and are not responsible for a Third-Party Service, its content, decisions, availability, security or changes. This does not limit our responsibility for how we select and use service providers to perform our own obligations, or any liability that cannot be excluded by law.
13.4Links to regulator material, CPD providers or external resources are provided for convenience and do not constitute endorsement, advice or a representation that the material is current.
14.Fees, billing and taxes
14.1The Customer must pay the Fees in Australian dollars at the times stated at checkout, in the plan or in an Order. Except where the agreement expressly says otherwise, Fees are payable without set-off or deduction.
14.2Subscription payments are processed by Stripe. By providing a payment method, the Customer authorises us and Stripe to charge it for the initial Subscription Term and each renewal, together with disclosed taxes and agreed charges, until the subscription is cancelled.
14.3A subscription renews for successive periods equal to the selected billing interval unless it is cancelled before the renewal date. The Customer may cancel through billing settings or by contacting us. Cancellation takes effect at the end of the then-current paid Subscription Term, and access continues until then unless the agreement is terminated earlier.
14.4Prices and plan inclusions are those displayed when the Customer orders. We may change them for a future Subscription Term by giving at least 30 days' notice. If the Customer does not agree, it may cancel before renewal. A price change does not apply retrospectively to a prepaid Subscription Term.
14.5Prices are stated as the total amount payable unless the checkout or Order clearly says otherwise. At the date of these Terms, Bezeled Pty Ltd is not registered for GST. No GST is included in or added to the Fees, and the invoices we issue are not tax invoices. If we become registered for GST, we will give at least 30 days' notice before any Fee changes as a result, and clause 14.4 applies to that change as it does to any other price change. Terms used in relation to GST have the meanings given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
14.6If a payment is declined or overdue, we may retry the payment and ask the Customer to update its payment method. If the amount remains unpaid after reasonable notice, we may suspend paid features under clause 15. Access may be restored after all overdue amounts are paid.
14.7Except as required by the ACL, another applicable law or an express term of this agreement, Fees paid for a Subscription Term are not refundable merely because the Customer changes its mind, stops using the Service, removes users or cancels before the end of that term.
14.8The Customer is responsible for taxes, duties and government charges arising from its purchase or use of the Service, other than taxes on our net income. If law requires the Customer to withhold an amount, it must provide evidence of the withholding and, to the extent permitted by law, pay an additional amount so we receive the amount we would have received without the withholding.
15.Suspension
15.1We may suspend access to all or part of the Service where we reasonably consider it necessary to:
(a)respond to an actual or suspected security threat, attack, vulnerability, fraud or unauthorised access;
(b)prevent material harm to the Service, a Customer, another customer, a third party or our suppliers;
(c)stop use that is unlawful or materially breaches clause 8;
(d)comply with law, a court order, a regulator direction or a binding request from a service provider necessary to operate the Service;
(e)address overdue Fees under clause 14.6; or
(f)deal with a material breach that the Customer has failed to remedy after notice under clause 16.3.
15.2We will limit a suspension to the affected Account, user, feature or data where reasonably practicable, give notice before or promptly after suspension unless prohibited or unsafe, explain the general reason, and restore access as soon as the cause has been remedied.
15.3The Customer must continue paying undisputed Fees during a suspension caused by its breach, non-payment or systems. If a suspension was caused solely by our breach, the Customer's remedies are those available under this agreement and law.
16.Term and termination
16.1These Terms start for a user when they first accept them or use the Service and continue while they have an Account, access a Workspace or otherwise use the Service. A Customer's subscription starts when ordered and continues for the Subscription Term unless terminated earlier.
16.2A Customer may cancel renewal at any time under clause 14.3. It may terminate immediately by written notice if we materially breach this agreement and fail to remedy the breach within 14 days after receiving notice that reasonably describes it.
16.3We may terminate a Customer's agreement by written notice if the Customer materially breaches it and:
(a)the breach cannot be remedied; or
(b)the breach can be remedied but is not remedied within 14 days after notice.
16.4We may terminate or suspend immediately for serious unlawful, fraudulent or abusive conduct, a material security threat, deliberate infringement, or conduct reasonably likely to cause material harm. We may terminate if required by law or if a Third-Party Service essential to the Service becomes permanently unavailable and no reasonable substitute exists.
16.5We may discontinue the Service or terminate a subscription for convenience on at least 30 days' notice. If we do so before the end of a prepaid Subscription Term for a reason not caused by the Customer, we will refund the unused portion of prepaid Fees.
16.6Either party may terminate an Order immediately by notice if the other party becomes insolvent, enters liquidation or administration, has a receiver appointed over a material part of its assets, ceases business, or is subject to an analogous event, but only to the extent the termination right is enforceable under applicable law.
16.7On expiry or termination:
(a)the rights granted under clause 3 end and the Customer and its Authorised Users must stop using the affected Service;
(b)amounts accrued before termination remain payable;
(c)each party must return or destroy the other's Confidential Information on request, except for Customer Data handled under clause 16.8 and copies required by law or routine backups; and
(d)clauses intended by their nature to continue survive, including clauses 6, 7, 8, 10, 11, 14, 16.7, 16.8, 17, 18, 20 and Part B.
16.8Before closing a Workspace, the Customer should use the available export tools. We will offer an export before deletion and handle Customer Data after closure in accordance with the retention periods in the Privacy Policy, including deletion of Workspace records and stored files within 30 days unless a documented legal hold applies. Data may remain in disaster-recovery backups until it ages out under the stated backup cycle.
17.Warranties, statutory rights and disclaimers
17.1Each party warrants that it has capacity and authority to enter into and perform this agreement.
17.2We warrant that we will provide the Service with due care and skill and substantially in accordance with the Documentation. If we breach this warranty, we will use reasonable efforts to correct or re-perform the affected Service.
17.3Our services come with guarantees that cannot be excluded under the ACL. Nothing in this agreement excludes, restricts or modifies a guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.
17.4Subject to clause 17.3 and to the maximum extent permitted by law, the Service and Documentation are provided on an "as available" basis. We exclude all representations, guarantees, conditions, warranties, undertakings and remedies not expressly set out in this agreement, including any warranty that the Service will be uninterrupted, error-free, completely secure, suitable for a purpose not disclosed to and accepted by us, or accepted by a regulator.
17.5Where the ACL permits liability for failure to comply with a consumer guarantee relating to services not ordinarily acquired for personal, domestic or household use to be limited, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again, but only where it is fair and reasonable for us to rely on that limitation.
17.6You acknowledge that internet, communications and software services involve risks and dependencies outside our control and that Customer Data and instructions affect results. A representation about the Service is binding only if stated in this agreement, an accepted Order or other written commitment by an authorised representative of Cupid.
18.Liability
18.1Nothing in this agreement excludes or limits liability:
(a)that cannot be excluded or limited by law;
(b)for death or personal injury caused by negligence;
(c)for fraud, fraudulent misrepresentation or wilful misconduct; or
(d)under an indemnity to the extent expressly stated in clause 19.
18.2Subject to clause 18.1, neither party is liable to the other for any indirect, incidental, special, exemplary or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, opportunity or business interruption, whether direct or indirect, arising out of or in connection with this agreement.
18.3Subject to clause 18.1, Cupid is not liable for:
(a)a CPD shortfall, missed deadline, rejected filing or upload, regulator enquiry, audit outcome, penalty, sanction, disciplinary action, practising-certificate consequence or professional claim;
(b)a decision made from Customer Data or an output that was not independently checked as required by clause 6.4;
(c)inaccurate, incomplete, late or unlawful Customer Data or instructions;
(d)loss or corruption of Customer Data to the extent the loss could reasonably have been avoided by maintaining the independent copies required by clause 7.6;
(e)a Third-Party Service, event organiser, presenter, venue, regulator or payment provider, except to the extent the loss was caused by our own breach, negligence, fraud or wilful misconduct; or
(f)an act or omission of the Customer, an Authorised User or a person using credentials or permissions provided by the Customer.
18.4Subject to clauses 18.1 and 18.5, each party's total aggregate liability arising out of or in connection with this agreement in any rolling 12-month period is limited to the greater of:
(a)the Fees paid or payable by the Customer for the Service during that 12-month period; and
(b)A$100.
18.5The cap in clause 18.4 does not limit:
(a)the Customer's obligation to pay Fees;
(b)a party's liability for breach of clause 10;
(c)the Customer's liability for infringement or misappropriation of Cupid's Intellectual Property Rights, or use of the Service in breach of clause 8.1(f), 8.1(h) or 8.1(i); or
(d)liability under clause 19.
18.6Each party must take reasonable steps to mitigate loss arising under this agreement. Liability is reduced to the extent that the other party's act, omission or failure to mitigate caused or contributed to the loss.
18.7The limitations and exclusions in this clause apply regardless of the legal basis of the claim, including contract, tort (including negligence), statute, equity or indemnity, and even if a party was advised that the loss was possible, but always subject to clause 18.1.
19.Indemnities and third-party claims
19.1The Customer indemnifies Cupid and its officers, employees and contractors against direct loss, liability, damage, cost and reasonable external legal expense finally awarded or reasonably incurred in connection with a third-party claim, to the extent the claim arises from:
(a)Customer Data infringing a third party's Intellectual Property Rights, privacy, confidentiality or other rights;
(b)the Customer's or an Authorised User's unlawful, fraudulent or materially unauthorised use of the Service;
(c)the Customer's breach of clause 7.3, 8 or 9.4; or
(d)a session organised by the Customer, including its content, cancellation, venue, presenter, advertising, tax treatment, consumer guarantees, injury or failure to deliver, except to the extent caused by Cupid's acts as payment and registration technology provider.
19.2The indemnity in clause 19.1 does not apply to the extent a claim or loss was caused by Cupid's breach of this agreement, negligence, fraud or wilful misconduct.
19.3A party seeking indemnity must:
(a)notify the indemnifying party promptly, provided delay only reduces the indemnity to the extent it materially prejudices the defence;
(b)allow the indemnifying party to control the defence and settlement with competent counsel;
(c)provide reasonable cooperation at the indemnifying party's cost; and
(d)not admit liability or settle without the indemnifying party's consent, which must not be unreasonably withheld.
19.4The indemnifying party must not settle a claim in a way that admits fault by, imposes a non-monetary obligation on, or fails to fully release the indemnified party without that party's prior written consent.
19.5Clause 11.5 governs third-party claims that the unmodified Service infringes Australian Intellectual Property Rights.
20.General
20.1Notices. A notice under this agreement must be in writing. Notices to Cupid must be sent to hello@cupid.legal. We may send a notice to the billing, owner or Account email address, or through a prominent in-Service notice. An email is taken to be received when it becomes capable of being retrieved unless the sender receives a delivery failure; if that occurs outside 9.00 am to 5.00 pm on a Business Day at the recipient's location, it is taken to be received at 9.00 am on the next Business Day.
20.2Changes to these Terms. We may update these Terms to reflect changes to the Service, law, security, providers or business practices. We will give reasonable advance notice of a material change by email or through the Service. A material change will not apply retrospectively. If it materially disadvantages a Customer during a prepaid Subscription Term, the Customer may cancel before it takes effect and receive a pro-rata refund for the unused portion, unless the change is required by law or necessary to address an urgent security risk. Continued use after the effective date constitutes acceptance of the updated Terms.
20.3Assignment. The Customer must not assign, novate or transfer this agreement without our prior written consent, which we will not unreasonably withhold. We may assign or novate this agreement to a related body corporate or in connection with a merger, restructure, financing or sale of all or substantially all of the relevant business, provided the successor assumes our obligations and we give notice. Any other assignment by us requires the Customer's consent, not to be unreasonably withheld.
20.4Force majeure. Neither party is liable for delay or failure to perform an obligation, other than an obligation to pay money already due, to the extent caused by an event beyond its reasonable control. The affected party must take reasonable steps to minimise the effect and resume performance. If material non-performance continues for more than 60 days, the unaffected party may terminate the affected Service on written notice and we will refund any prepaid Fees for the unused portion.
20.5No waiver. A failure or delay to exercise a right is not a waiver. A waiver must be in writing and applies only to the specific circumstance for which it is given.
20.6Severability. If a provision is invalid, illegal or unenforceable, it is to be read down to the minimum extent necessary and, if it cannot be read down, severed. The remaining provisions continue in force unless that would materially alter the nature of the agreement.
20.7Relationship. The parties are independent contractors. Nothing creates a partnership, joint venture, employment, fiduciary or agency relationship, and neither party may bind the other. Cupid acts in the limited payment and registration role described in Part B for Session Tickets.
20.8Subcontracting. We may use subcontractors and service providers to perform the Service. We remain responsible for performance of our obligations to the same extent as if we performed them ourselves, subject to this agreement.
20.9Entire agreement and reliance. This agreement records the entire agreement about its subject matter and supersedes prior discussions, proposals and representations. Nothing in this clause excludes liability for fraud or misleading or deceptive conduct, or limits a right that cannot be excluded by law.
20.10Third-party rights. Except for a person expressly indemnified under clause 19, a person who is not a party has no right to enforce this agreement.
20.11Governing law. This agreement is governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and courts hearing appeals from them.
20.12Electronic agreement. The parties agree that acceptance, notices, records and transactions may occur electronically and that electronic records may be used as evidence to the extent permitted by law.
20.13Contact. Questions or notices about these Terms may be sent to hello@cupid.legal.
Session tickets
Ticket terms version: 2026-09-13. This Part B applies when a firm or other Customer uses Cupid to publish, administer or sell places at a CPD session (an Organiser) and when a person registers for or buys a place through Cupid (an Attendee). A paid or free registration is a Session Ticket.
21.1 Roles and contract for the session
21.1The Organiser named on the registration page organises and supplies the session. The contract for the session and Session Ticket is between the Organiser and the Attendee. The Organiser is responsible for the session, its content, presenters, venue or online delivery, accessibility, accuracy of advertising, availability, safety, cancellation, consumer guarantees, refunds, tax treatment and any required tax invoice.
21.2Cupid provides the technology used to publish the registration page, collect registration details, reserve capacity, administer attendance and certificates, and, for paid Session Tickets, arrange payment through Stripe Connect. Cupid is not the Organiser, presenter, venue, education provider or reseller of the session and does not act as the Organiser's general agent.
21.3The Organiser appoints Cupid as its limited agent only to receive and administer Session Ticket payments through the connected payment arrangement described in this Part B and to send operational communications for the session. No other agency, partnership or joint venture is created.
21.4By registering, the Attendee asks the Organiser to reserve a place and confirms that the information submitted is accurate. The Attendee accepts this Part B and, where displayed, the Organiser's refund terms. The transaction record may record the accepted versions, wording and time.
21.2 Session information and changes
21.5The Organiser must ensure that the registration page is accurate and not misleading, including the session title, date, time, location or delivery method, presenters, capacity, price, GST treatment, CPD description and refund terms.
21.6Session information is supplied by the Organiser. Cupid does not independently verify the session, presenter, content, CPD value, accreditation or suitability. Displaying a session through Cupid is not an endorsement by Cupid or a regulator.
21.7The Organiser may make reasonable changes to presenters, content, timetable, venue or delivery method where necessary. If a change materially alters what an Attendee purchased, the Organiser must offer the remedy required by its refund terms and applicable law. The Organiser must use the available contact details to notify affected Attendees promptly.
21.8The Organiser may refuse or cancel a registration for a legitimate reason, including capacity, safety, non-payment, duplicate registration or misconduct, but must not do so unlawfully or discriminatorily and must provide any refund required by law or its displayed terms.
21.3 Prices, GST and payment
21.9The price displayed before payment is the total charged to the Attendee in Australian dollars. Where the Organiser states that it is registered for GST, the displayed total and receipt identify the GST component. The Organiser, not Cupid, is responsible for the correctness of that treatment and for issuing any tax invoice required by law.
21.10Paid Session Tickets are processed by Stripe using the Organiser's connected account and Cupid's platform. The Attendee authorises the displayed charge and must comply with Stripe's applicable payment terms. Cupid does not receive or store full card details.
21.11A pending checkout reserves a place until Stripe confirms payment or expiry. Returning to the registration page does not itself cancel the checkout. The Attendee should use the same browser to resume or close the pending checkout and should not make a second payment while the first remains pending.
21.12If a payment succeeds after the place has become unavailable, cannot be matched to the registration, or duplicates another payment, it may be held for reconciliation and a refund requested. Payment processors and banks determine when refunded funds become available.
21.13Cupid deducts the platform fee disclosed to the Organiser in payout settings from paid Session Ticket proceeds. Under the current destination-charge arrangement, Stripe's processing fee is charged to Cupid and is not separately deducted again from the Organiser's proceeds. Stripe, Cupid and banks may delay or withhold settlement where required for refunds, disputes, risk review, law or their applicable terms.
21.4 Refunds, cancellations and disputes
21.14The Organiser's refund terms displayed before registration apply subject to the ACL and any other rights that cannot be excluded. An Attendee must direct a change, transfer, cancellation or refund request to the Organiser using the details on the registration or receipt.
21.15If the Organiser cancels a paid session, it must promptly initiate a full refund unless the Attendee validly agrees to an alternative. Initiating a refund does not control the time taken by Stripe or the Attendee's bank to return funds.
21.16When a refund is initiated through Cupid, the related transfer may be reversed to recover the refunded proceeds. For a full refund, Cupid currently returns the associated platform fee. Stripe processing fees, currency costs or other third-party charges may be non-refundable or charged according to Stripe's terms and the connected-account arrangement.
21.17Stripe may initially debit Cupid for a refund, reversal, chargeback or dispute. The Organiser authorises Cupid to reverse or recover the corresponding transfer, set off the amount against available or future Session Ticket proceeds, or require repayment to the extent the amount relates to the Organiser's session. Cupid will provide reasonable transaction information, and the Organiser must promptly assist with evidence and resolution.
21.18The Organiser is responsible for the merits of disputes about its session. Cupid may submit evidence, communicate through Stripe, accept or contest a dispute, or take protective action where reasonably necessary, but does not guarantee the outcome. A dispute decision by a bank or card scheme does not determine the parties' rights under the ACL or other law.
21.19A refund does not automatically delete an attendance or transaction record. Records are retained or corrected in accordance with the Privacy Policy, the Organiser's lawful record-keeping needs and applicable law.
21.5 Attendance, CPD and certificates
21.20Registration, payment, check-in, attendance recording and a certificate are evidence-related administrative functions. They do not establish that an Attendee participated for a particular duration, engaged with the content, may claim a stated number of CPD points, satisfied a mandatory area, or complied with a regulator's rules.
21.21The Organiser is responsible for setting and substantiating any CPD description, recording attendance accurately, correcting errors, issuing certificates only where appropriate, and meeting any provider reporting or lodgement obligation.
21.22Each Attendee must determine whether and how the session may be claimed under the rules applying to them, retain appropriate evidence and correct any inaccurate registration, attendance or certificate details.
21.6 Conduct, materials and personal information
21.23An Attendee must comply with reasonable session, venue, safety and conduct instructions notified by the Organiser. The Organiser may remove a person whose conduct is unlawful, unsafe or materially disruptive, subject to applicable law and any refund rights.
21.24Rights in session slides, recordings, handouts and other materials belong to the Organiser, presenter or relevant licensor. Registration does not grant a right to reproduce, publish, record, distribute or commercially exploit those materials except as permitted by the rights holder or law.
21.25The Organiser and Cupid handle registration, attendance, payment and certificate information as described in the Privacy Policy. The Organiser receives the information needed to deliver the session and is independently responsible for its own handling of that information.
21.26An optional mailing-list choice is separate from registration and must not be preselected. If an Attendee opts in, the named Organiser may send future session announcements through Cupid or use an export of its subscribed list. The Attendee may unsubscribe at any time without affecting the Session Ticket.
21.7 Liability for sessions
21.27The Organiser is responsible to the Attendee for supplying the session and complying with applicable consumer law. Cupid remains responsible for its own payment and registration technology obligations and does not exclude liability that cannot be excluded by law.
21.28Subject to clause 17.3, Cupid is not liable for the acts or omissions of the Organiser, presenter, venue or Attendee; the quality, accuracy, safety or delivery of the session; a change or cancellation by the Organiser; or whether a regulator accepts the session or any CPD claim.
21.29Clauses 17 to 20 apply to Cupid's role in relation to Session Tickets. For an Attendee who does not otherwise use the Service, references in those clauses to Fees mean the amount, if any, paid through Cupid for the affected Session Ticket, and Cupid's aggregate liability is limited to the greater of that amount and A$100, subject always to liabilities and rights that cannot be excluded or limited by law.
